The Commission has made a draft scheme in relation to a bequest by Sarah Winifred Hamill (deceased) to the Ulster Vegetarian Society.
The draft scheme, available to read or download below, was open for comments for 30 calendar days, from 1 to 31 August 2014. The Commission did not receive any comments during this time and is now working towards having the scheme settled in preparation for sealing.
Under the Charities Act (Northern Ireland) 2008 (the ‘Act’), some changes to a charitable company’s articles of association must be approved by the Charity Commission for Northern Ireland before they take effect.
Alterations to the objects, dissolution clause or authorisations for benefits to be paid to directors in any charitable company’s Memorandum and Articles of Association, or Articles of Association, must receive prior written consent from the Commission before they can become effective.

The Commission has consented to alterations to Ulster Society for the Prevention of Cruelty to Animals’ Articles of Association. Ulster Society for the Prevention of Cruelty to Animals applied to the Commission for consent to alterations to the Article’s objects, directors’ benefits and dissolution clauses(s). The Commission has considered the proposed alterations and has granted consent to them subject to the passing of a resolution by the charity’s members/directors.
